These Terms govern access to and use of TrustVerifi's websites, apps, APIs, and services (the "Services"). By creating an account, purchasing a subscription, or using our Services, you agree to these Terms. If you are using the Services on behalf of a company, you represent that you are authorized to bind that company to these Terms. Please read carefully.

1) Who we are and how these Terms work

1.1 The Services. TrustVerifi is a global trust and reputation platform enabling individuals and businesses to verify identity/business details, collect and display testimonials (text/video), earn dynamic badges, compute a Trust Score, and share proof via widgets and embeds.

1.2 Users. These Terms apply to: (a) Individuals (e.g., freelancers, job seekers, consultants); (b) Businesses (including their authorized users); and (c) Reviewers (people who leave reviews via invite or public form).

1.3 Other terms/policies. The following are incorporated by reference: Privacy Policy, Cookie Policy, Community Guidelines/Review Rules, Dispute Policy, any order form or plan details, and (if applicable) a Data Processing Addendum (DPA).

1.4 Changes. We may update these Terms to reflect legal, security, or feature changes. Material changes will be notified in-product or by email. Continued use after the effective date constitutes acceptance.

2) Accounts, eligibility, and responsibilities

2.1 Eligibility. You must be at least 16 years old and legally able to enter into contracts. For Business accounts, you warrant that you have authority to bind the entity.

2.2 Account security. Keep credentials confidential and use reasonable security (e.g., strong passwords; 2FA where available). You are responsible for activities under your account. Promptly inform us of suspected compromise.

2.3 Accurate information. You agree to provide accurate details and to keep them updated (contact, billing, business info).

2.4 Team & roles (Business). Businesses may invite team members and assign roles (e.g., Admin, Contributor, Analyst, Viewer). The Business controls team membership and remains responsible for team use of the Services.

3) Verification (KYC/KYB) and trust signals

3.1 Purpose. Verification helps build credibility and reduce fraud. Depending on your plan and features, we may require identity verification (KYC) for Individuals and business verification (KYB) for Businesses, including staff verification.

3.2 Third‑party providers. We engage vetted providers (currently ComplyCube) to process verification data (e.g., ID documents, selfies, liveness checks, registries) under their own privacy/terms. We receive verification outcomes and limited metadata.

3.3 Outcomes & badges. Successful checks may unlock badges, a Trust Score boost, or feature access. Failed or expired checks may reduce visibility or restrict features until resolved.

3.4 No guarantee. A verification badge or Trust Score is not a certification or guarantee of a user's conduct, services, or solvency. It is a signal based on data sources and rules that may change over time.

3.5 Re‑verification. We may request re‑verification (e.g., upon expiry, name change, suspected misuse). If you decline, we may limit features or mark your profile accordingly.

4) Reviews, invitations, and provenance

4.1 Who can review. Reviewers may submit reviews via: (a) Direct invite link (personal request from a profile owner), (b) Public form (email‑verified), or (c) Imported sources (e.g., Google/Facebook, where supported).

4.2 Invite‑verified. Reviews submitted via a direct invite link are marked Verified by default. Public reviews require email verification and are labeled accordingly. Imported reviews are labeled "Imported" with the source.

4.3 Honest and relevant. Reviews must reflect genuine experiences, be relevant to the product/service, and comply with our Community Guidelines (no illegal, harmful, defamatory, or promotional spam content; no conflicts of interest; no incentivized reviews unless expressly permitted by law and our policies).

4.4 Edits & removals. Reviewers may edit or delete their own reviews. We may remove or restrict visibility of content that violates policies or law, is fraudulent, or cannot be substantiated during a dispute.

4.5 Flagging & disputes. Users may flag content they believe violates policies. We operate a moderation queue (automated + human). Businesses/Individuals can submit evidence during disputes. We do not arbitrate commercial disagreements; we assess policy compliance.

4.6 Right of reply. Profile owners may reply to reviews, subject to the same rules (professional, non‑harassing, no personal data without consent).

4.7 Video testimonials. If enabled, reviewers may upload short videos. Uploading implies you have necessary rights and consent of people appearing in the video. We may transcode, compress, and caption videos.

5) Content rights and licenses

5.1 Your content. You retain ownership of content you submit (text, images, video, logos). You grant us a worldwide, non‑exclusive, royalty‑free, sublicensable license to host, store, reproduce, modify (solely for formatting/technical reasons, e.g., compression/captions), publish, display, and distribute such content in connection with the Services, marketing, and improving the platform.

5.2 Reviewer attribution. We may display reviewer names/aliases, badges, and provenance labels (e.g., Verified via Invite). You may control certain privacy settings in your account.

5.3 Feedback. If you provide feedback/ideas, you grant us a perpetual, irrevocable, royalty‑free license to use it without restriction or compensation.

5.4 Third‑party rights. You warrant that your content does not infringe or misappropriate third‑party rights and that you have all necessary permissions (e.g., to upload a client logo or a video testimonial).

6) Platform rules (acceptable use)

You agree not to:

  • (a) break the law or infringe rights;
  • (b) post or solicit fake, paid, or misleading reviews;
  • (c) post personal data of others without consent (doxxing) or confidential information;
  • (d) harass, threaten, or hatefully target individuals;
  • (e) exploit platform features to manipulate Trust Scores or badges;
  • (f) reverse engineer, scrape at scale, or bypass technical limits;
  • (g) interfere with security or integrity of the Services;
  • (h) upload malware or spam;
  • (i) misuse flagging/dispute tools (e.g., to silence fair criticism).

We may suspend or terminate accounts that breach these rules.

7) Trust Score, badges, and directory

7.1 Trust Score. A dynamic metric derived from verification status, review volume/recency/quality, reviewer provenance, dispute outcomes, and other signals. It may change over time as we update models or detect anomalies.

7.2 Badges. Badges reflect milestones/achievements (e.g., Verified, Consistently Rated 5.0, Top Performer). Some badges update live (e.g., "Trusted by 14 Verified Clients"). Criteria may evolve and certain badges may expire if conditions are no longer met.

7.3 Directory. Public profiles (opt‑in) may be discoverable in our directory (e.g., by category, location, tags). Visibility may depend on plan level, verification, completeness, and quality signals.

7.4 No professional advice. Trust Scores/badges are informational signals, not endorsements or warranties.

8) Plans, billing, and refunds

8.1 Subscriptions. Paid features are offered via subscription plans (e.g., Plus, Premium, Advanced) billed monthly or annually unless otherwise stated.

8.2 Auto‑renewal. Plans auto‑renew until canceled. You can cancel in the product at any time; access continues until the end of the current billing cycle.

8.3 Trials & promotions. If offered, trials convert to paid unless canceled before the trial ends. Promotional pricing applies for the promotional period only unless otherwise stated.

8.4 Payments. We use Stripe and other processors to handle payments securely. You authorize us and our payment processors to charge your selected payment method, including taxes where applicable.

8.5 Invoices. We issue tax invoices/receipts to the account holder of record. For Businesses, ensure legal name, ABN/Tax ID, and billing details are accurate.

8.6 Refunds. Except where required by law or explicitly stated, fees are non‑refundable once the billing period starts. If we materially breach these Terms and fail to cure within a reasonable time after notice, we may provide a prorated refund for the affected period.

8.7 Upgrades/Downgrades. Upgrades take effect immediately; we prorate the difference. Downgrades take effect at the next renewal and may limit or lock certain features.

9) Moderation, safety, and disputes

9.1 Two‑layer moderation. We apply automated checks (e.g., content safety) and AI‑assisted labeling for policy categories (e.g., personal info, ads/links, defamation risk, off‑topic, duplicates, conflicts). Some content may be held for review.

9.2 Enforcement. We may remove, edit, restrict, or decline to display content that violates policies or law, or to protect our users. We may notify you of the reason where feasible.

9.3 Dispute process. If you dispute a review, provide evidence (e.g., order number, correspondence). We will assess for policy compliance and may ask the reviewer to substantiate. We are not a court and do not resolve commercial liability between parties.

9.4 Abuse mitigation. We may rate‑limit, require additional verification, suspend features, or lock accounts if we detect anomalies, fraud, or security risks.

10) Third‑party services and integrations

The Services may link to or integrate with third‑party services (e.g., identity verification, payments, communications, analytics, social platforms). We are not responsible for third‑party terms, content, or practices. Your use of those services is governed by their terms and privacy policies.

11) API and developer terms (if applicable)

11.1 Access & keys. API access (where offered) requires an API key tied to your account. Keep keys confidential.

11.2 Use limits. We may set rate limits, quotas, or usage caps. Do not attempt to circumvent limits.

11.3 Restrictions. Do not use APIs to build a competing dataset or to profile individuals unlawfully.

11.4 Termination. We may revoke API access for misuse or security reasons.

12) Intellectual property

12.1 Our IP. We own the Services, software, designs, databases, and trademarks (including TrustVerifi, our logos, and badges). No rights are granted except as expressly stated.

12.2 Brand use. You may reference TrustVerifi factually (e.g., "Verified on TrustVerifi") and use our provided widgets/badges as permitted by your plan and our Brand Guidelines. Do not alter or imply endorsement.

12.3 DMCA/notice. If you believe content infringes your copyright or trademark, submit a notice to legal@trustverifi.com with sufficient detail. We may remove content and notify the user.

13) Privacy and data protection

13.1 Privacy Policy. Our Privacy Policy explains how we collect, use, share, and safeguard personal data, including KYC/KYB processing and international transfers.

13.2 Business customers & DPA. Where we process personal data on your behalf, we will enter into a DPA upon request. For platform integrity, analytics, and legal compliance, we act as an independent controller.

13.3 Regional rights. We honor applicable rights under Australian Privacy Principles (APPs), GDPR, and CCPA/CPRA as described in the Privacy Policy.

14) Warranties and disclaimers

14.1 As‑is. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." We disclaim all implied warranties (merchantability, fitness for a particular purpose, non‑infringement) to the fullest extent permitted by law.

14.2 No professional advice. Trust Scores, badges, analytics, and testimonials are informational only. We do not control user content and do not guarantee accuracy, completeness, or availability of any content.

15) Limitation of liability

15.1 Indirect damages. To the fullest extent permitted by law, we are not liable for lost profits, revenues, goodwill, data, or indirect/special/consequential damages.

15.2 Cap. Our total liability for any claim is limited to the greater of (a) amounts paid by you to us in the 12 months preceding the event giving rise to the claim, and (b) AUD $100.

15.3 Consumer laws. Nothing excludes non‑excludable rights under the Australian Consumer Law or other mandatory protections.

16) Termination and suspension

16.1 By you. You may terminate at any time through your account settings. If you terminate a paid plan, it remains active until the end of the paid period unless we state otherwise.

16.2 By us. We may suspend or terminate for material breach, non‑payment, suspected fraud/abuse, legal risk, or to protect users. We will notify you when feasible.

16.3 Effect. Upon termination, your license ends and access ceases. We may retain data as required by law (e.g., billing records) and per our Privacy Policy.

17) Beta features and changes

17.1 Betas. From time to time we may offer beta, preview, or experimental features. Betas are for evaluation only, may be discontinued, and are provided "as is."

17.2 Service changes. We may add, change, or remove features with notice where materially adverse. If a change materially degrades core paid functionality, you may cancel and request a prorated refund for the affected portion.

18) Governing law and disputes

18.1 Law & forum. These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of laws. Courts of NSW (and, where applicable, the Federal Court of Australia sitting in NSW) have exclusive jurisdiction.

18.2 Informal resolution. Before filing, the parties will attempt in good faith to resolve disputes by contacting legal@trustverifi.com.

18.3 Injunctive relief. Nothing prevents either party from seeking urgent injunctive or equitable relief.

19) Miscellaneous

19.1 Entire agreement. These Terms, policies, and any order form constitute the entire agreement and supersede prior understandings.

19.2 Severability. If any provision is unenforceable, the remainder remains in effect.

19.3 Assignment. You may not assign without our consent; we may assign to an affiliate or in connection with a corporate transaction.

19.4 Notices. We may notify you via email, in‑product messages, or your account address.

19.5 Force majeure. Neither party is liable for delays/failures due to events beyond reasonable control (e.g., internet outages, government actions, disasters).

19.6 Export controls. You will comply with applicable export and sanctions laws.

20) Definitions (summary)

  • Badge: a visual indicator of a milestone/verification/achievement.
  • Business: an entity using the Services for commercial purposes, including its authorized users.
  • Invite‑verified: a review submitted through a personal invite link sent by a profile owner.
  • Public review: a review submitted without an invite, typically after email verification.
  • Reviewer: a person who writes a review/testimonial.
  • Trust Score: a dynamic metric reflecting verification state, review signals, and other factors.
  • You: the account holder or the entity you represent.

  • Premium: advanced AI replies & fraud detection, unlimited reviews, full analytics explorer, 2,000 invitations/month + API, up to 10 logins, exportable reports.
  • Advanced: enterprise‑grade analytics, 5+ sub‑profiles, higher quotas, team roles, API access expansions.

Actual inclusions may vary by region and will be shown at checkout.

Annex B – Moderation categories (illustrative)

  • High‑risk (auto‑reject): sexual exploitation, violent threats, terrorist content.
  • Policy labels (AI assisted): personal info/doxxing, ads/links, defamation risk, off‑topic, duplicate, low‑quality, conflict of interest.
  • Actions: publish, hold for review, mask personal info, remove, or request substantiation.

Annex C – Data processing roles

  • Processor (on Customer's behalf): invitations, testimonial collection, analytics generation, embeddings/widgets.
  • Independent Controller: verification integrity, fraud prevention, platform safety, legal compliance, product improvement.
